Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and BudoHQ LLC, an Arizona limited liability company (“BudoHQ,” “we,” “us,” or “our”), governing your access to and use of the BudoHQ software, websites, and related services (the “Service”). By creating an account, purchasing a subscription, or using the Service, you agree to these Terms. If you are agreeing on behalf of a business, you represent that you are authorized to bind that business.

1. The Service

BudoHQ is software that helps martial arts schools manage students and families, billing, scheduling, attendance, rank progressions, leads, and marketing, with an optional AI add-on. We may update, improve, or change features over time.

2. Accounts & eligibility

You must be at least 18 years old and able to form a binding contract. You are responsible for your account credentials, for all activity under your account, and for keeping your information accurate. Notify us promptly of any unauthorized use.

3. Subscriptions, billing & cancellation

Paid plans are billed in advance on a recurring monthly or annual basis through our payment processor (Stripe). By subscribing, you authorize us to charge your payment method on each renewal until you cancel. Prices are shown on our site and may change with notice; any promotional pricing applies only as described at the time of purchase.

You may upgrade, downgrade, or cancel at any time from your billing settings. Cancellation takes effect at the end of the current billing period, and you retain access until then. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial periods. You are responsible for applicable taxes.

4. Your content & customer data

You retain ownership of the data you and your school’s members put into the Service (“Customer Data”), including information about your students and their families. With respect to that data, you are the controller and BudoHQ is a processor acting on your instructions. You are responsible for: (a) having the rights and any consents needed to collect and process Customer Data, including data about minors; (b) providing your own members with any required privacy notices; and (c) complying with all laws that apply to your communications, including obtaining consent for marketing emails and text messages (e.g., TCPA/CAN-SPAM) before using BudoHQ to send them.

You grant us a limited license to host, process, and transmit Customer Data solely to provide and improve the Service and as described in our Privacy Policy.

5. Acceptable use

You agree not to: misuse or interfere with the Service; access it by unauthorized means; reverse engineer or resell it; upload unlawful, infringing, or harmful content; send spam or unsolicited messages; or use the Service to violate any law or the rights of others.

6. AI features

The optional AI add-on generates drafts and suggestions using third-party AI models. AI output may be inaccurate or incomplete; you are responsible for reviewing it before relying on or sending it. AI features are provided “as is” as part of the Service.

7. Third-party services

The Service relies on third parties (for example, payment processing, messaging, hosting, and AI). Your use of those features may also be subject to the third party’s terms, and we are not responsible for third-party services.

8. Intellectual property

The Service, including its software, design, and trademarks, is owned by BudoHQ and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. All rights not granted are reserved.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUDOHQ WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You will indemnify and hold BudoHQ harmless from claims arising out of your Customer Data, your use of the Service, your communications with your members, or your breach of these Terms.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or to protect the Service. On termination, your right to use the Service ends; we may delete Customer Data after a reasonable period as described in our Privacy Policy.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the date above and, where appropriate, notify you. Your continued use after changes take effect means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of the State of Arizona, without regard to its conflict of laws rules. The exclusive venue for any dispute will be the state or federal courts located in Arizona.
